Terms of Participation for Sprint Contest

Please read these Terms of Participation ("Terms”) before entering and participating this Sprint Contest (“Contest”). By participating in this Contest, you (“you”, “your” or “Participant”) agree to be bound by these Terms. 

I. Overview and Responsibility
The entity responsible for the organization of the Contest is Aleph Zero Foundation domiciled at Bergliweg 15, 6300 Zug, Switzerland (“Aleph Zero”, “we” or “our”). No purchase or payment of any kind is necessary to enter or win this Contest. A purchase or payment will not improve your chances of winning the Contest.

II. Eligibility and Exclusion
Subject to the additional restrictions below, you may enter the Contest if you (i) are at least eighteen (18) years of age as of the date of entry and participation of the Contest and have the right, authority, and legal capacity to accept these Terms, (ii) participate in the Contest for your own personal use, (iii) will not participate in the Contest if the laws of your countries of residency and/or citizenship prohibit you from doing so in accordance with these Terms, (iv) are not subject to personal sanctions issued by the UN, US, EU or Switzerland and (v) are not accessing the Contest from one of the countries embargoed or restricted by the Swiss State Secretariat for Economic Affairs (SECO), including, but not limited to: Belarus, Burundi, Central African Republic, Congo, DPRK (North Korea), Guinea, Guinea-Bissau, Iran, Iraq, Lebanon, Libya, Mali, Myanmar (Burma), Republic of South Sudan, Russia, Somalia, Sudan, Syria, Ukraine, Venezuela, Yemen, or Zimbabwe (“Prohibited Jurisdictions”).

In case local regulations prohibit the Contest, participation in the Contest and/or prohibit class action waivers, you may not enter the Contest. 

Employees or agents of Aleph Zero and its affiliates or business partners involved in the provision of the Contest (collectively, “Aleph Zero Parties”), as well as the members of their respective family members (i.e. parents, children, siblings or spouse) or those persons living in the same household of the Aleph Zero Parties, are ineligible to enter or win.

We have the right to exclude individual persons from participation at our discretion and for any reason, such as violation of these Terms, attempted manipulation, or unauthorized support from third parties. We reserve the right to take action against such individuals and to deny or reclaim any prizes that have been distributed to such individuals.

III. Contest Period and Goal
The Contest starts at 12:00AM Central European Time (CET) on the 17th of April, 2024, and ends at 11:59PM Central European Time (CET) on the 23rd of April, 2024 (“Contest Period”). The goal of the Contest is to complete quests on the Zealy platform (“Platform”) in order to earn rewards (“XP”). Participants will be ranked according to their amount of XP (“Leaderboard”). 

The Platform allows companies to drive growth and engagement by turning their members into contributors to their communities. While the quests on the Platform will be created by Aleph Zero, the Platform is operated by Freyja Labs domiciled in Orléans, France. By participating in the Contest, you acknowledge that Aleph Zero does not operate the Platform and does not assume and liability regarding the Platform in any way whatsoever.

IV. How to Enter the Contest
Subject to Section 2, you may enter the Contest by doing any of the following to create an account on Zealy:

1. connect to the Zealy platform via Discord;
2. connect a wallet to the Zealy platform via wallet connect; or
3. sign-up on the Zealy platform with an email address.

During the Contest Period, you may take the following steps to complete the quests: 

1. connect a Discourd account to the Zealy platform ;
   complete quests on the Aleph Zero Zealy questboard
2. Please note that the Contest will be conducted entirely online. Therefore, you will need to provide your own computer equipment and internet connection.

V. Prizes
The Contest will have ten (10) winners. The Aleph Zero tokens (AZERO) (“Token Prize”) prize structure is as follows

First place: 300 AZERO
Second place: 150 AZERO
Third place: 75 AZERO
Fourth to tenth place: 50 AZERO

The top three winners can additionally receive one swag Box consisting of a hat, T-shirt, keychain, toiletry bag, cotton bag, eye-band and stickers with a value of approximately 50 USD  (“Swag Prize”, together with Token Prize “Prizes”). The winners of the Prizes will be announced on the 24th of April, 2024.

The Token Prize can only be transferred to a wallet address that is compatible with the Aleph Zero blockchain. The cost of shipping the Swag Prize to the top three winners will be borne by us.

Cash payments, exchanges or substitutions of the Prizes are not possible. The Prizes are non-transferable and non-assignable to any other person including relatives or friends, unless permitted in writing by us. Any attempt to transfer, assign, or sell any of the Prizes without our express written consent may result in forfeiture of any of the Prizes in our sole discretion.

You are solely responsible for all direct or indirect taxes, duties, charges, levies, contributions and withholdings or other fees of any kind payable under the laws of any relevant country, as well as all penalties, interest, surcharges and other costs related thereto, imposed on the Prizes. We assume no liability for legal and/or material defects of the Prizes.

VI. Selection of the Winners
Winners will be selected at our sole discretion based on their position on the Leaderboard (“Judging Criteria”).

We have the right to monitor the activities and completed quests of Participants and to disqualify, at our sole discretion, any Participants who violate these Terms, attempt manipulation, get unauthorized support from third parties or influence the Contest in any other unauthorised manner. If a Participant who would have qualified as a winner is disqualified from the Contest, the next Participant on the Leaderboard will move up.

The winners of the Prizes will be notified via Discord ("Prize Notification”). The winners will have seven (7) days from the time of issuance of Prize Notification to respond to the Prize Notification (“Required Response Time”). During the Required Response Time, the winner will be required to provide us all information necessary to deliver the Prizes, including but not limited to name, domicile address, phone number, email address and clothing sizes. (“Required Information”). In the event that a winner does not respond to the Prize Notification within the Required Response Time, declines the Prizes or any portion thereof for any reason and/or fails to submit the Required Information, the Prizes will be awarded to the next Participant on the Leaderboard. 

VII. Interruption or Termination
If the operation or integrity of the Contest is compromised or the Contest cannot be held or continued for technical reasons, we may suspend, modify, or terminate the Contest at any time without prior notice and without providing any explanation. In this case, we may decide to not award any Prizes to any Participants. All our decisions are final and binding on all matters relating to the Contest. 

VIII. Intellectual Property Rights
You accept that any and all rights (including copyrights, design rights and/or other intellectual property rights) of ours (in particular but not exclusively in the Aleph Zero trademark and the Aleph Zero logo) shall remain in our sole property. We do not assign any right, title and interest in any and all work results created or developed by us under these Terms.

IX. Limitation of Liability and Indemnification
You agree that we shall not be responsible or liable for any losses, damages or injuries of any kind resulting from your participation in the Contest or any related activity unless such damages are caused by gross negligence or wilful misconduct. By participating in the Contest, to the maximum extent permitted by applicable law, you agree to fully indemnify us from and against any liability, claims, demands, losses, damages, costs, and expenses resulting from any breach by you of these Terms.

X. Miscellaneous
You shall not have the right to assign or transfer the rights and obligations under these Terms, in full or in part, to any third party without our prior written and express consent. You understand and agree that any assignment or transfer in violation of this Section shall be null and void. We are entitled to assign or transfer the rights and obligations under these Terms to any third party. 

If any provision of these Terms should be invalid in any jurisdiction under applicable law, the legality and enforceability of the remaining provisions hereof shall not in any way be affected or impaired thereby. In such an event, the parties commit themselves to compose a legally valid replacement rule which approaches the invalid provision as closely as possible within the economic intent of these Terms. With this in mind, these Terms will be interpreted as though the invalid clause had been omitted from the outset.

If any party to these Terms waives the enforcement or exercise of its contractual right in a particular case, this may not be considered a general waiver of the respective right or any other contractual right or the exercise and enforcement thereof.

XI. Applicable Law and Jurisdiction
These Terms shall be governed by and construed in accordance with Swiss law, excluding the Swiss conflict of law rules. Any dispute, controversy or claim arising out of or in connection with these Terms or the breach, termination, existence, legal competence, or invalidity thereof, shall be exclusively settled by the courts of Zug, Switzerland.

XII. Class Action Waiver
Any claim must be brought in the respective party’s individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, multiple plaintiff, or similar proceeding (“Class Action”). The parties expressly waive any ability to maintain any Class Action in any forum. Any claim that all or part of this Class Action Waiver is unenforceable may be determined only by a court of competent jurisdiction.
